Steps of the process

1. Initial Assessment
2 Weeks

Specialized consultant FERSO will promote detailed market, production, competitive, financial assessment, among other inherent aspects to the client's business purpose. Considering the result of the initial assessment and the client's objective, the best strategy for investment with a view to the desired result. Preparation of the Valuation;

2. Intermediation Term
1 Week

Preparation of proposal, terms and conditions for carrying out intermediation work.

3. Prospecting
3 to 18 months

FERSO's specialized consultant, duly equipped with preliminary information of interest to the parties, will promote rapprochement and debate on the initial aspects of negotiation. 

4. Initial Terms and Binding Proposal
1 to 3 months​

Once the convergence of the initial interests of the parties has been achieved, a Confidentiality and Secrecy Agreement must be signed, enabling the exchange of preliminary information - based on the selection criteria - about the business; At this stage, a Term of Understanding may be signed defining the basis for negotiation; Next act, opening of financial and other information not sensitive; Presentation of a binding proposal;

5. Negotiation; Acquisition Agreement; Due Diligence and Closing of the Transaction
1 month

Negotiation of the acquisition price; Opening of relevant and sensitive information; Due Diligence financial and legal; Signing of the Agreement Buy and sell

6. Post-transaction
12 months

Monitoring compliance with contractual legal obligations; Implementation of the integration plan, consolidation of operations, systems and teams, and the harmonization of business cultures; Post-transaction evaluation:
